Subscription and Billing Terms

1. Agreement and acceptance

These Subscription and Billing Terms ("Terms") govern your purchase and use of Carbynix Managed Detection and Response services and add-ons ("Services"). They incorporate by reference the Master Services Agreement (MSA), the Data Processing Agreement (DPA), the Acceptable Use Policy, and the Privacy Policy (together, the "Agreement"). By clicking "I agree" and completing checkout, or by signing an Order Form, you accept these Terms on behalf of the entity you represent and confirm you are authorized to bind it. The version of these Terms in effect when you place your order applies to that order. We record the version and timestamp of your acceptance.

2. Services and Order

The specific Services, tier, endpoint count, add-ons, fees, and term are set out in your Order Form or in the cart you check out in the portal (the "Order"). Service tiers and add-ons are described at carbynix.com. Some add-ons are scoped and shown as a starting ("from") price; for those, the final fee is confirmed with you before billing.

3. Fees, minimums, and billing

  • Base-tier fees are stated per endpoint per month, plus any add-on fees, as set out in your Order.
  • Pricing is per endpoint with no account minimum. Billing is monthly, regardless of the term you select.
  • Payments are processed through Stripe. You authorize us, through Stripe, to charge your payment method for all fees when due. You are responsible for applicable taxes.
  • Endpoint count is measured by the number of endpoints on which a Carbynix agent is enrolled during the applicable billing period.

4. Term, automatic renewal, and cancellation

  • The term you select at checkout is either month-to-month or a one, two, or three-year commitment, beginning on the effective date stated in your Order. Fees are billed monthly in every case; a longer commitment lowers your monthly rate.
  • AUTOMATIC RENEWAL. A month-to-month subscription renews each month until you cancel. A one, two, or three-year subscription automatically renews for successive one-year Renewal Terms unless you cancel before the end of the then-current term. At least 30 days before each renewal of a term subscription, we will send you a reminder disclosing the renewal price and the renewal date.
  • Cancellation. You may cancel at any time in the customer portal or by emailing support@carbynix.com. For a month-to-month subscription, cancellation is effective at the end of the current monthly period; for a term subscription, it is effective at the end of the then-current term.

5. Price changes

We may change fees for a Renewal Term by giving you at least 30 days' advance notice before the renewal date. Price changes do not take effect mid-term.

7. Add-ons and scoped services

Add-ons may be added at any time and are billed from the date added. Scoped services (for example, Advisory/vCISO, penetration testing, cloud monitoring) are quoted from a starting price and confirmed in an Order or statement of work before work begins.

8. Suspension and termination for non-payment

If a charge fails, we may retry and may suspend Services for non-payment after notice. Termination does not relieve you of fees accrued before termination.

9. Relationship to the Master Services Agreement

These Terms govern billing and subscription mechanics. Service scope, SLAs, warranties, limitation of liability, indemnification, confidentiality, data handling, and dispute resolution are governed by the MSA and the DPA. If there is a conflict, the MSA controls except on billing and subscription mechanics, where these Terms control.

10. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Venue and dispute resolution are as set out in the Master Services Agreement, which these Terms incorporate.

11. Changes to these Terms

We may update these Terms; the version in effect when you place or renew an Order applies to that term. Material changes are notified to you.
