1. Acceptance of These Terms
These Website Terms of Service ("Terms") govern your access to and use of carbynix.com (the "Site"), operated by Carbynix LLC ("Carbynix," "we," "us," or "our").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. Scope
These Terms cover only your use of the public marketing Site. They do not cover the engagement of Carbynix services. If you become a Carbynix customer, the relationship will be governed by a separately executed Master Services Agreement, Statement of Work, Data Processing Addendum, Business Associate Agreement (where applicable), and any other documents identified in the engagement packet. Service-level commitments, breach warranties, indemnification obligations, and similar provisions live in those agreements, not here.
3. Eligibility
You must be at least 18 years old to use the Site. By using the Site, you represent that you meet this requirement.
4. Intellectual Property
4.1 Site Content
All content on the Site, including text, graphics, logos, icons, images, the Threat Brief publication, the Situation dashboard, layouts, and software, is the property of Carbynix or its licensors, and is protected by United States and international copyright, trademark, and other intellectual-property laws.
4.2 Brand Marks
"Carbynix," the Carbynix logo, and product names including "Guardian" and "Fortress" are trademarks or service marks of Carbynix. You may not use them without our prior written permission, except for nominative fair use (for example, factually identifying Carbynix as a service provider).
4.3 Threat Brief
The Threat Brief publication is authored by Carbynix and protected by copyright. You may share short excerpts with attribution and a link back to the Site. You may not republish full posts, scrape the publication for redistribution, or use the content to train machine-learning models without our prior written permission.
4.4 Limited License
Carbynix grants you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for personal or internal business evaluation purposes. All rights not expressly granted are reserved.
5. Acceptable Use
You agree not to:
- Scrape, crawl, or use automated tools to extract content from the Site beyond what a standard search-engine crawler would access under our robots.txt
- Reverse-engineer, decompile, or attempt to derive source data from the Situation dashboard or any visualization on the Site
- Attempt to bypass any technical protection or access controls
- Submit malware, phishing payloads, exploit code, or any content intended to compromise Carbynix systems or other users
- Use the contact form to send unsolicited commercial messages, spam, or harassing content
- Impersonate any person or entity in your communications with us
- Use the Site in any manner that violates applicable law or third-party rights
- Probe, scan, or test the vulnerability of the Site without our prior written authorization (for coordinated security disclosure, contact contact@carbynix.com)
6. Disclaimers
6.1 Threat Brief is Informational Only
The Threat Brief publication is general security commentary. It is not legal advice, financial advice, or actionable security guidance for any specific environment, organization, or matter. The Threat Brief is drafted with the assistance of an AI structured-reasoning pipeline using public threat-intelligence sources. While we apply editorial review, we make no warranty that any post is current, complete, or applicable to your circumstances. Do not rely on the Threat Brief in lieu of qualified legal counsel, a licensed security professional, or your own incident-response procedures.
6.2 Situation Dashboard is a Demonstration
The Situation dashboard displays anonymized, illustrative sector-pressure indicators on a US map. It is a demonstration view intended to communicate the kinds of insights Carbynix produces in customer engagements. It does not display real customer data, real-time threat telemetry, or operational intelligence about any specific organization. Do not rely on the Situation dashboard as a security indicator or risk-assessment tool.
6.3 Cost-of-Breach Calculator is Illustrative
The cost-of-breach calculator runs entirely in your browser and produces illustrative estimates based on values you enter. The output is not:
- A quote or price for Carbynix services
- A contractual figure or commitment
- An actuarial estimate of breach loss
- A substitute for a formal risk assessment
The calculator is a conversation starter, not a financial or actuarial tool.
6.4 No Warranty
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CARBYNIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the disclaimer of certain warranties; those disclaimers apply to the maximum extent permitted by law.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) CARBYNIX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ZERO U.S. DOLLARS ($0.00), REFLECTING THAT THE SITE IS PROVIDED FREE OF CHARGE AND FOR INFORMATIONAL PURPOSES.
(b) IN NO EVENT WILL CARBYNIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CARBYNIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(c) THE LIABILITY OF CARBYNIX FOR THE PROVISION OF SERVICES UNDER A SEPARATELY EXECUTED MASTER SERVICES AGREEMENT IS GOVERNED BY THAT AGREEMENT AND IS NOT LIMITED OR ALTERED BY THIS SECTION.
Some jurisdictions do not allow the limitation or exclusion of certain damages; those limitations apply to the maximum extent permitted by law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Carbynix and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your violation of any law or third-party right, or (c) your misuse of the Site.
This Section does not apply to claims arising from a separately executed services agreement.
9. Third-Party Services and Links
The Site relies on third-party services (listed in our Privacy Policy) and may link to third-party sites. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to those parties' terms.
10. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. The disclaimers, limitations of liability, indemnification, and dispute-resolution provisions survive termination.
11. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to your use of the Site will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to personal jurisdiction in those courts.
12. Dispute Resolution
Before filing any formal claim, you agree to contact Carbynix at contact@carbynix.com and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved within that period, either party may proceed in court under Section 11.
13. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date will reflect the latest version. Material changes will be communicated by posting a prominent notice on the Site for at least 30 days. Continued use of the Site after the effective date of revised Terms constitutes acceptance of those Terms.
14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
15. Entire Agreement
These Terms, together with the Privacy Policy and any other notices posted on the Site, constitute the entire agreement between you and Carbynix concerning the Site, and supersede any prior agreements concerning the Site (excluding any executed services agreements between you and Carbynix, which govern their own subject matter).
16. No Waiver
Failure by Carbynix to enforce any provision of these Terms is not a waiver of that provision or any other.
17. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
